Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 29, 2017, the SeaWorld Entertainment, Inc. (the “Company”) Compensation Committee of its Board of Directors (the “Committee”) approved one-time equity retention awards (collectively referred to as the “Retention Awards”) for certain officers and employees of the Company including (a) Marc G. Swanson, the Company’s Chief Financial Officer and Treasurer and (b) Elizabeth C. Gulacsy, the Company’s Chief Accounting Officer (Mr. Swanson and Ms. Gulacsy collectively referred to as the “Executives”).  In light of the Executives’ new positions and responsibilities, their value to the organization, and in order to address the lack of retention value of outstanding equity awards held by the Executives, the Committee approved the Retention Awards to encourage the Executives to remain with the Company on a long-term basis.  The Retention Award for Mr. Swanson provides for a one-time grant of time-vesting restricted stock with a grant date fair value equal to $175,000 which will vest over two years, with fifty percent (50%) vesting on each of the first two anniversaries of the date of grant, subject to Mr. Swanson’s continued employment through the applicable vesting date.  The Retention Award for Ms. Gulacsy provides for a one-time grant of time-vesting restricted stock with a grant date fair value equal to $55,000 with one hundred percent (100%) vesting on October 11, 2018, subject to Ms. Gulacsy’s continued employment through the applicable vesting date.
