Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 10, 2017, Prashanth Mahendra-Rajah resigned from the Company with effect on September 30, 2017 to become the Chief Financial Officer of a NASDAQ listed technology company.

After more than three years with WABCO in Belgium, Mr. Mahendra-Rajah now wishes to take the opportunity to repatriate his family to the U.S.

On August 16, 2017, the Company appointed Alexander De Bock, the Company’s Vice President Finance Planning & Analysis and Vice President Investor Relations, to serve as Interim Chief Financial Officer of the Company, effective October 1, 2017.

Mr. De Bock, age 40, joined the Company in 2004. Since this time, he has held various positions in finance including internal auditor, assistant controller and business unit finance leader.
