PRECIPIO ANNOUNCES PROPOSED PUBLIC OFFERING

NEW HAVEN, Conn., (August 1, 2017) – Precipio, Inc. (NASDAQ: PRPO), today announced that it intends to offer for sale its common stock and warrants in an underwritten public offering. The Company intends to use the net proceeds from this offering for the repayment of debt, growth of its sales force, progression of its product development and for working capital and general corporate purposes. The offering is subject to market conditions, and there can be no assurance as to whether the offering may be completed, or as to the actual size or terms of the offering.

Aegis Capital Corp. is acting as the sole book-running manager for the offering.

The offering is being made pursuant to a shelf registration statement that Precipio previously filed with the Securities and Exchange Commission (“SEC”) and which became effective on February 13, 2015.
