Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 26, 2017, James Powell, Chief Technology Officer of Nielsen Holdings plc (the “Company”), tendered his resignation effective August 31, 2017. Giovanni Tavolieri, the Company’s Global President, Operations, will assume responsibility for Global Technology commencing August 4, 2017.
