Item 1.01. Entry into a Material Definitive Agreement.

 

On July 26, 2017, Liberty Star Uranium & Metals Corp. (the “Company”) issued a convertible promissory note (the “Note”) to JSJ Investments Inc. (“JSJ”) in the principal amount of $50,000 plus 12% interest. The Note bears interest at 12% and matures on April 26, 2018. Pursuant to Section 2 of the Note, the outstanding principal and accrued interest on the Note shall be convertible into shares of the Company’s common stock as set forth therein.

 

The foregoing descriptions of the Note and of all of the parties’ rights and obligations under the Note are qualified in its entirety by reference to the Note, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K, and of which is incorporated herein by reference.
