Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On June 20, 2017, Frank E. Jenkins, Jr. was appointed to the Boards of Directors of Village Bank and Trust Financial Corp. (the “Company”) and its wholly owned subsidiary, Village Bank, effective as of July 1, 2017. Mr. Jenkins is expected to serve on the Audit and Enterprise Risk Management Committees of the Board of Directors of the Company. Mr. Jenkins will be compensated in the same manner as other directors of the Company and Village Bank.
