Submission of Matters to a Vote of Security Holders.

On June 6, 2017, LendingClub Corporation (the “Company”) reconvened its annual meeting of stockholders (the “Annual Meeting”). Present at the Annual Meeting in person or by proxy were holders of 313,460,225 shares of common stock, representing 77.7% of the shares of common stock outstanding and entitled to vote as of April 10, 2017, the record date for the Annual Meeting, and constituting a quorum for the transaction of business.

The stockholders of the Company voted as follows on the proposals voted on at the Annual Meeting:

1.
Stockholders elected Scott Sanborn, Lawrence Summers and Simon Williams as Class III directors each to serve until the 2020 Annual Meeting or until his successor has been elected and qualified or his earlier death, resignation or removal.

2.
Stockholders approved, on a non-binding advisory basis, the compensation of the Company’s named executive officers.

3.
Stockholders ratified the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2017.
