Item 5.07. Submission of Matters to a Vote of Security Holders.

Tetraphase Pharmaceuticals, Inc. (the “Company”) held its annual meeting of stockholders on May 31, 2017 (the “Annual Meeting”). At the Annual Meeting, the Company’s stockholders voted in the following manner with respect to the following proposals:

 

  1. The election of Directors as class I directors, each to serve for a three-year term expiring at the 2020 annual meeting of stockholders. The final voting results were as follows:

The compensation of the Company’s named executive officers was approved on an advisory basis as disclosed in the proxy statement for the 2017 Annual Meeting pursuant to the compensation disclosure rules of the Securities and Exchange Commission, including the Compensation Discussion and Analysis, the Summary Compensation Table and the other related tables and narrative disclosure. The final voting results were as follows:
