Item 3.01.Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On May 16, 2017, GenVec, Inc. (the “Company”) received a notice from The NASDAQ Stock Market LLC (“NASDAQ”) that the Company is not in compliance with NASDAQ’s Listing Rule 5550(b)(1) because it has not maintained a minimum of $2.5 million in stockholders’ equity. The notification of noncompliance has no immediate effect on the listing or trading of the Company’s common stock on NASDAQ under the symbol “GNVC.”

Pursuant to the NASDAQ Listing Rules, the Company has 45 days, or until June 30, 2017, to submit a plan to regain compliance with the minimum stockholders’ equity requirement. If the plan is accepted, the Company may be granted up to 180 calendar days from May 16, 2017 to evidence compliance.
