On May 9, 2017, Amplify Snack Brands, Inc. (“Amplify” or the “Company”) issued a press release announcing its financial results for the 13 weeks ended April 1, 2017. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein. The information in this Item 2.02 (including Exhibit 99.1) shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 (the “Securities Act”) or the Exchange Act, regardless of any general incorporation language in such filing.

Effective May 3, 2017, David Milner no longer serves as our International President, Executive Vice President. Amplify has initiated a search to identify new senior leadership of Amplify’s international business.
