Item 8.01. Other Events.

On May 8, 2017, Tribune Media Company, a Delaware corporation (“Tribune”), issued a press release announcing that it had entered into an agreement and plan of merger (the “Merger Agreement”) with Sinclair Broadcast Group, Inc., a Maryland corporation (“Sinclair”), pursuant to which Sinclair will acquire 100% of the issued and outstanding shares of common stock of Tribune.

A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein. Additional details regarding the terms of the Merger Agreement will be filed with the Securities and Exchange Commission (the “SEC”) at a later date.
