Item 5.07 Submission of Matters to a Vote of Security Holders.

The Annual Meeting of Shareholders of MBIA Inc. (the “Company”) was held on May 3, 2017 (the “Annual Meeting”). The matters that were voted upon at the Annual Meeting, and the number of votes cast for or against each matter (and percent of shares voted), as well as the number of abstentions (and percent of shares voted) and broker non-votes as to each such matter, where applicable, are set forth below.

Proposal 1: Election of Directors. The shareholders elected the Company’s nominees to the Board of Directors. The voting results were as follows:
