Explanatory Note
This Form 8-K/A is being filed to correct a transcription error in the original Teligent, Inc. press release filed as Exhibit 99.1 to the Form 8-K filed on March 7, 2017. The headings of the balance sheets contained in the press release have been corrected to reflect that the values provided in the first column are for the year ended December 31, 2016 and the values provided in the second column are for the year ended December 31, 2015. This transcription error occurred only in Exhibit 99.1. The balance sheets were correctly disclosed in the press release issued by Teligent, Inc.

On March 7, 2017, Teligent, Inc. (the “Company”) issued a press release announcing the Company’s earnings for the fourth quarter and year ended December 31, 2016 and certain other information. A copy of the press release is attached hereto as Exhibit 99.1.
The Company will conduct a conference call to review its financial results on March 7, 2017, at 4:15 p.m., Eastern Time.
The information, including Exhibit 99.1, in this Form 8-K is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 or otherwise subject to the liabilities of that Section.
