Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
This Amendment No. 1 to Current Report on Form 8-K/A (the “Amendment No. 1”) amends the Current Report on Form 8-K of 1347 Property Insurance Holdings, Inc. (the “Company”) filed with the Securities and Exchange Commission on December 30, 2016 (the “Original Form 8-K”), which reported the appointment of D. Kyle Cerminara to the Board of Directors (the “Board”) of the Company as a Class III director. At the time of the Original Form 8-K, the Company reported that the Board had not made any determinations regarding committee assignments for Mr. Cerminara. This Amendment No. 1 updates the Original Form 8-K in order to report that on March 5, 2017, the Board appointed Mr. Cerminara to serve on its Compensation and Management Resources Committee.
