The undersigned, a broker, custodian bank, trustee, depositary or other nominee holder of non-transferable rights (the "Rights") to purchase shares of common stock, par value $0.01 per share ("Common Stock") of Trinity Place Holdings Inc. (the "Company") pursuant to the rights offering described and provided for in the prospectus supplement dated March 2, 2017 (the "Prospectus"), hereby certifies to the Company, American Stock Transfer & Trust Company, LLC, as subscription agent for the rights offering, and D.F.
