Item 2.02. Results of Operations and Financial Condition.
On February 28, 2017, Handy & Harman Ltd., a Delaware corporation (the "Company"), issued a press release announcing financial results for the fourth quarter and year ended December 31, 2016 and other financial information. A copy of the press release is being furnished as Exhibit 99.1 hereto.

On February 28, 2017, the Company published a letter to its stockholders. A copy of the letter is attached hereto as Exhibit 99.2.
