Item 4.01     Changes in Registrant’s Certifying Accountant.

 

(b)     Engagement of New Independent Accountant.

 

As disclosed in our Form 8-K filed with the U.S. Securities and Exchange Commission on January 4, 2017, our client-auditor relationship with our former independent registered public accounting firm, GHP Horwath, P.C. (“GHP”), ceased on December 30, 2016. GHP had been our independent registered public accounting firm from October 29, 2015, until December 30, 2016 (the “Review Period”).

 

On February 8, 2017, the Company engaged Crowe Horwath LLP (“Crowe”) as its new independent registered public accounting firm effective immediately. Crowe will audit the Company’s financial statements for the fiscal year ended December 31, 2016, and will conduct reviews of the Company’s unaudited quarterly financial statements on an ongoing basis beginning with the financial statements for the quarter ended March 30, 2017. The engagement of Crowe by the Company was approved by the Company’s audit committee.

 

During the Review Period, neither the Company nor anyone on its behalf consulted with Crowe with respect to (1) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, and neither a written report was provided to the Company nor oral advice was provided that Crowe concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing, or financial reporting issue or (2) any matter that was either the subject of a “disagreement” (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) or a “reportable event” (as described in Item 304(a)(1)(v) of Regulation S-K).
