On January 26, 2017, James E. Smith resigned from the Board of Directors of Hawthorn Bancshares and from the Board of Directors of our Company's subsidiary, Hawthorn Bank, effective January 31, 2017. Management is unaware of any disagreement between Mr. Smith and either of Hawthorn Bancshares or Hawthorn Bank on any matter relating to their respective operations, policies or practices.
