Item 1.01 Entry into a Material Definitive Agreement

Pending Sale – Oxford Square Property

In March 2014, CNL Growth Properties, Inc., through an affiliate (collectively, the “Company” or “we”), together with WF Oxford Square, LLC, formed a joint venture (the “Joint Venture”), which purchased a fee simple interest in an approximately 9-acre parcel of land in Hanover, Maryland, a suburb to the south of Baltimore, on which the Joint Venture developed, constructed and now operates a 248-unit multifamily residential community known as “Oxford Square” (the “Oxford Square Property”).

On January 18, 2017, the Joint Venture entered into a Purchase and Sale Agreement (the “Agreement”) with the Howard County Housing Commission, a public body corporate and politic and housing authority of the State of Maryland that is an unaffiliated third party (the “Buyer”), for the sale of the Oxford Square Property (the “Sale”). The sale price for the Oxford Square Property is approximately $65.7 million. Buyer paid into escrow a $0.1 million deposit. The deposit is nonrefundable, except in the event of the Joint Venture’s breach of the Agreement or failure to satisfy conditions to the consummation of the Sale. Subject to payment of the deposit to the Joint Venture, Buyer can terminate the Agreement on or before February 1, 2017 if Buyer is unable to access the municipal bond market to finance the acquisition on terms acceptable to Buyer on or before January 31, 2017.

The Agreement contains customary representations, warranties, covenants and indemnities of the Joint Venture and Buyer. The Company currently anticipates that the consummation of the Sale will occur on or about February 28, 2017; provided, however, that there can be no assurance that the Sale will ultimately be completed.
