Item 8.01. Other Events.

As previously disclosed, on December 1, 2016, Parker-Hannifin Corporation (“Parker”), Parker Eagle Corporation, a wholly owned subsidiary of Parker (“Merger Sub”), and CLARCOR Inc. (“Clarcor”) entered into an Agreement and Plan of Merger pursuant to which Merger Sub will be merged with and into Clarcor, with Clarcor surviving the merger as a wholly owned subsidiary of Parker.

The waiting period under the Hart-Scott-Rodino Antitrust Improvement Act of 1976, as amended (the “HSR Act”) with respect to the pending Clarcor transaction expired at 11:59 p.m. on January 17, 2017.

The expiration of the waiting period under the HSR Act satisfies one of the conditions to the closing of the pending Clarcor transaction. The pending Clarcor transaction remains subject to other closing conditions, including, among others, approval by Clarcor’s stockholders and receipt of other applicable regulatory approvals outside of the United States. Based on the current status of the parties’ applications for such regulatory approvals and the current date for Clarcor’s special meeting on February 23, 2017, the parties currently expect the pending Clarcor transaction to be completed by the end of the first quarter of calendar year 2017.

In connection with the pending Clarcor transaction, Clarcor has filed a preliminary proxy statement on Schedule 14A with the SEC. In addition, a definitive proxy statement will be filed by Clarcor and provided to Clarcor’s stockholders.
