ITEM 3.01 NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD; TRANSFER OF LISTING
On January 13, 2017, the New York Stock Exchange (“NYSE”) provided notice to EnerJex Resources Inc. (the “Company”) that NYSE has accepted the Company's plan to hold an annual meeting of its stockholders for fiscal year end December 31, 2015, no later than March 31, 2017, in order for the Company to comply with Section 704 of the NYSE Company Guide which requires that an annual meeting of stockholders be held each year. By reason of not having held an annual meeting for the fiscal year ended December 31, 2015, the Company is not in compliance with the NYSE MKT listing standards. The NYSE's acceptance of the Company's plan represents a continuation of the Company's NYSE listing pursuant to the above-described extension through March 31, 2017.
A copy of the press release issued by the Company on January17, 2017, regarding the notice from the NYSE is filed as Exhibit 99.1 to this Form 8-K.
