Item 8.01 Other Events
On January 10, 2017 Northwest Bank, the wholly-owned subsidiary of Northwest Bancshares, Inc. (the "Company"), issued a press release announcing it has entered into a purchase and assumption agreement to sell its three branches in the Baltimore, Maryland area to Shore United Bank, which is filed as exhibit 99.1.
