On January 4, 2017, Kelvin Davis notified AV Homes, Inc. (the “Company”) of his intention to resign from the Company’s Board of Directors (the “Board”) effective January 31, 2017. Mr. Davis was designated for election to the Company’s Board by TPG Aviator, L.P. (“TPG”) in accordance with the terms of a stockholders agreement between TPG and the Company. The Company is coordinating with TPG regarding the identification and appointment of Mr. Davis’s TPG designated replacement.
