Item 1.01. Entry into a Material Definitive Agreement.
On December 8, 2016, Strategic Realty Trust, Inc. (the “Company”), through an indirect subsidiary, entered into a Purchase and Sale Agreement with an unrelated third party purchaser (the “Purchaser”) for the sale of an approximately 175,000 square foot retail property located in Arlington, Texas (“Woodland West Marketplace”). The contractual sale price of Woodland West Marketplace is $15.1 million. Pursuant to the Purchase and Sale Agreement, the Purchaser would be obligated to purchase the property and the Company would be obligated to sell the property only after satisfaction of agreed upon closing conditions. There can be no assurance that the Company will complete the sale.
