Item 8.01 Other Events

On October 26, 2016, Willis Lease Finance Corporation issued a press release announcing that its wholly owned subsidiary, Willis Asset Management Limited, has purchased the business and assets of Total Engine Support Limited (“TES”), the consulting and asset management business of the TES Aviation Group.

A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
