Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 17, 2016 June Morris joined the executive team of Northern Power Systems Corp. (the "Company") as Vice President and General Counsel. Ms. Morris, age 67, brings to the Company more than thirty years of senior legal experience, including many years as a public company General Counsel. Ms. Morris's experience includes being Vice President and General Counsel of Pegasystems, Sequoia Systems, and CGI Information Systems and Management Consultants, Inc. Ms. Morris will head the Legal Department at Northern Power Systems and play a key business role in the company, providing legal counsel on business objectives and opportunities, directing the legal organization, and overseeing corporate policies, intellectual property, risk management, M&A, and major global corporate transactions.
There are no relationships between Ms. Morris and the Company that would require disclosure under Item 404(a) of Regulation S-K of the Securities Exchange Act of 1934, as amended.
On October 18, 2016, the Company issued a press release announcing the appointment of Ms. Morris as the Company’s Vice President and General Counsel, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
