Item 8.01 Other Events.
On October 10, 2016, Penn Mutual Life Insurance Company announced it had entered into a definitive agreement to acquire Vantis Life Insurance Company. As a result of SI Financial Group, Inc.’s ownership interest in Vantis Life, it is expected to recognize a pre-tax gain in the period in which the transaction is consummated of approximately $7.7 million ($5.1 million after-tax). The exact amount of the gain will be reported upon the completion of the transaction, which remains subject to regulatory approval.
