(b) On September 23, 2016, Frederick Ruiz, a member of the board of directors of The McClatchy Company (the “Company”), informed the Company that he will not stand for re-election at the upcoming Annual Shareholders’ Meeting to be held in May 2017. Mr. Ruiz’s decision not to stand for re-election was not a result of a disagreement with the Company.
Mr. Ruiz has indicated his intention to continue to serve as a director of the Company until the 2017 Annual Meeting.
