Item 8.01 Other Events.

On September 26, 2016, the Mohegan Tribal Gaming Authority (the “Authority”) issued a press release pursuant to Rule 135c of the Securities Act of 1933, as amended (the “Securities Act”), announcing its intent to commence an offering of $500 million of senior notes due 2024 only to “qualified institutional buyers” in an unregistered offering pursuant to Rule 144A under the Securities Act, and outside the United States to persons other than “U.S. persons” pursuant to Regulation S under the Securities Act. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
