Item 8.01. Other Events.

 

On September 26, 2016, Bats Global Markets, Inc., a Delaware corporation (“Bats”) and CBOE Holdings, Inc., a Delaware corporation (“CBOE”) issued a joint press release announcing the execution of an Agreement and Plan of Merger (the “Merger Agreement”) by and among Bats, CBOE, CBOE Corporation, a Delaware corporation and wholly owned subsidiary of CBOE, and CBOE V, LLC, a Delaware limited liability company and wholly owned subsidiary of CBOE. A copy of the joint press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.

 

On September 26, 2016, Bats and CBOE will hold a conference call with analysts and investors regarding the transactions contemplated by the Merger Agreement. The materials filed herewith as Exhibit 99.2, which are incorporated herein by reference, will be presented during such conference call.
