Item 1.01 Entry into a Material Definitive Agreement.
On September 19, 2016, Cachet Financial Solutions, Inc. (the “Company”) issued to Scarsdale Equities LLC (“Scarsdale”) five-year warrants to purchase 19,195 shares of the Company’s common stock at an exercise price of $4.94 per share. The warrants were issued to Scarsdale in consideration for Scarsdale’s advisory services to the Company in connection with obtaining certain modifications to the Company’s securities. The warrants were issued to Scarsdale in reliance on the exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933, as amended, and Rule 506 of Regulation D thereunder.
