Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On September 19, 2016, Analog Devices, Inc. (the “Company”) announced that Richard Meaney, Senior Vice President, Industrial, Healthcare and Consumer Business Group, will leave the Company effective December 31, 2016 (the “Separation Date”). Rick D. Hess, who currently leads the Communications and Automotive business groups will assume leadership of the Industrial, Healthcare and Consumer business groups, previously run by Mr. Meaney. Mr. Meaney will remain an executive officer through October 29, 2016 and will serve as Special Advisor to the Chief Executive Officer through his Separation Date. As of his Separation Date, Mr. Meaney will receive (i) a payment equal to two years of his base salary and bonus at target, and (ii) continued coverage under the Company’s group health plans for 12 months following the Separation Date. In consideration of Mr. Meaney’s execution of a non-competition and non-solicitation agreement, as of his Separation Date, all outstanding stock options, restricted stock units and performance restricted stock units that were scheduled to vest on or before March 31, 2017, will accelerate and vest in full. The equity awards subject to performance-based vesting criteria will vest as if all applicable performance parameters had been met at target levels.

Item 8.01 Other Events.

On September 15, 2016, the Company voluntarily withdrew its filing under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (“HSR Act”) relating to the proposed acquisition of Linear Technology Corporation (“Linear”) in order to provide the Federal Trade Commission with additional time to review the proposed acquisition. The Company resubmitted its HSR Act filing on September 19, 2016, commencing a new waiting period under the HSR Act. The Company and Linear continue to work cooperatively with the Federal Trade Commission staff in their review of the proposed transaction.

In connection with the proposed transaction, the Company and Linear have filed and will file relevant information with the Securities and Exchange Commission (the “SEC”), including a registration statement of the Company on Form S-4 (the “registration statement”) that includes a prospectus of the Company and a proxy statement of Linear (the “proxy statement/prospectus”).
