Item 8.01. Other Events.

On September 8, 2016, Resource America, Inc. (“Resource America”), the indirect parent corporation of Resource Apartment Advisor III, LLC, the advisor to Resource Apartment REIT III, Inc., was acquired by C-III Capital Partners LLC (“C-III”), pursuant to an Agreement and Plan of Merger dated as of May 22, 2016 (the “Merger Agreement”). Pursuant to the Merger Agreement, a wholly-owned subsidiary of C-III merged with and into Resource America, with Resource America surviving the merger as a wholly-owned subsidiary of C-III.
