Item 8.01 Other Events.
Notes Offering
On September 7, 2016, Louisiana-Pacific Corporation (the "Company"), announced that it has priced its private offering of $350 million aggregate principal amount of Senior Notes due 2024 (the “Notes”). The Notes will bear interest at an annual rate of 4.875%. The Company expects to close the offering of the Notes on September 14, 2016, subject to the satisfaction of customary closing conditions.
The Company intends to use the net proceeds of the offering of the Notes to repurchase and/or redeem and retire all of its outstanding 7.500% Senior Notes due 2020, including tender or redemption premiums with respect to such repurchase and/or redemption, and to pay related transaction costs.
A copy of the Company’s press releases relating to the pricing of the offering discussed above is filed as Exhibit 99.1 to this report and is incorporated herein by reference.
