Item 7.01 Regulation FD Disclosure.

On September 7, 2016, Allison Transmission Holdings, Inc. (the “Company”) announced that its wholly owned subsidiary, Allison Transmission, Inc. (the “Borrower”), expects to enter into an amendment and restatement (the “Amendment”) to its credit agreement in order to refinance and extend the maturity of each of its term loan facility due August 2019 and its revolving credit facility due January 2019 and to amend certain provisions thereof.

In connection therewith, the Company announced that it intends for the Borrower to commence an offering of up to $1,000 million in aggregate principal amount of senior unsecured notes due 2024 (the “Notes”) in a private placement (the “Offering”) exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”), subject to market conditions. To the extent the Borrower elects to proceed with the Offering, it currently intends to use the net proceeds from the Offering, together with cash on hand, to repay a portion of its outstanding term loans and pay related transaction fees and expenses.
