Item 7.01. Regulation FD Disclosure.
On September 6, 2016, New Jersey Resources Corporation (“NJR”) issued a press release (the “Press Release”) announcing that New Jersey Natural Gas Company reached a satisfactory agreement (the “Proposed Settlement”) on its base rate case that was originally filed in November 2015 with the New Jersey Board of Public Utilities (the "BPU"). The administrative law judge's initial decision to accept the agreement is pending before the commissioners of the BPU for their final decision. NJR also issued an investor fact sheet to provide more information on the Proposed Settlement (the “Investor Fact Sheet”). A copy of the Press Release and the Investor Fact Sheet are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, and are incorporated herein by reference.
