Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 2, 2016, Westell Technologies, Inc. (the “Company”), announced that Mr. Charles S. Bernstein, Senior Vice President, Worldwide Sales, has left the Company effective as of August 31, 2016. Mr. Bernstein’s separation from the Company is a termination “without Cause” within the meaning of the employment offer letter, dated as of April 20, 2015, between the Company and Mr. Bernstein (which offer letter has previously been filed with the SEC). For additional information regarding Mr. Bernstein’s employment arrangement (including severance provisions), please review the relevant disclosures in the Company’s 2016 Annual Meeting Proxy Statement.
