Item 8.01 Other Events.

On September 2, 2016, Fifth Third Bancorp (the “Company”) announced that its subsidiary, Fifth Third Bank, has submitted a redemption notice to the Issuing and Paying Agent to redeem the notes listed below. Pursuant to the terms and conditions of the notes, Fifth Third Bank will redeem the notes 30 days prior to their scheduled maturity on the date specified below.
