Item 1.01 Entry into a Material Definitive Agreement.
Xinda Holding (HK) Company Limited, a wholly owned subsidiary of the registrant, entered into a facility agreement on August 22, 2016 for a loan facility in an aggregate amount of US$180 million with a consortium of banks and financial institutions led by Standard Chartered Bank (Hong Kong) Limited. A copy of the facility agreement is filed as Exhibit 10.1.
