ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On August 24, 2016, Timothy P. Taft, Chief Executive Officer, President and a member of the Board of Directors of Fiesta Restaurant Group, Inc. (the "Company"), informed the Company's Board of Directors (the "Board") of his decision to retire as the Company's Chief Executive Officer, President and as a member of the Board effective at the end of Company's 2016 fiscal year.
The Company issued a press release announcing the retirement of Mr. Taft as the Company's Chief Executive Officer, President and as a member of the Board, the entire text of which is attached as Exhibit 99.1 and is incorporated by reference herein.
