Item 7.01 Regulation FD Disclosure.
On August 1, 2016, Energizer Holdings, Inc. (the "Company") announced that its Board of Directors declared a quarterly dividend of twenty-five cents ($0.25) per share on its Common Stock, payable on September 9, 2016 to all shareholders of record as of the close of business on August 19, 2016.
In addition, on August 1, 2016, the Board of Directors announced their intention to increase the Company’s regular quarterly dividend to $0.275 per share of Common Stock beginning in fiscal 2017. This represents a 10% increase over the current quarterly dividend of $0.25. Future declarations of dividends are subject to Board approval and may be adjusted at the discretion of the Board, as business needs or market conditions change. A copy of the press release announcing the dividend declaration for the fourth quarter of fiscal 2016 and the intention of the Board of Directors to increase the dividend for fiscal 2017 is attached hereto as Exhibit 99.1 and incorporated by reference herein.
