Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Consistent with the Mallinckrodt plc Board of Directors (the “Board”) policy that a director offer to resign when his or her principal occupation or business association changes substantially, Nancy S. Lurker offered to resign from the Board following her retirement as Chief Executive Officer of PDI, Inc. and indicated her intent to pursue multiple other opportunities. The Board accepted her resignation on July 20, 2016, effective July 21, 2016, and seeks to fill the vacancy with an active public company chief executive officer.
