Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
(b) On June 24, 2016, Dr. Paul S. Peercy resigned from the board of directors (the “Board”) of Sonic Foundry, Inc. (the “Company”) due to other priorities and personal commitments, effective on that date. Dr. Peercy resigned as a director of the Company and as a member of the Company’s Audit Committee. Dr. Peercy’s resignation from the Board was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
