On June 28, 2016, YRC Worldwide Inc. (the “Company”) issued a press release announcing that the Company has amended its Loan and Security Agreement, dated as of February 13, 2014. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

Non-GAAP Financial Measures

The press release attached as Exhibit 99.1 hereto includes a discussion of certain non-GAAP financial measures, including leverage which is calculated with respect to Adjusted EBITDA as defined in our term loan credit agreement, dated February 13, 2014, as Consolidated EBITDA.
