Item 8.01- Other Events

Endurance Exploration Group, Inc. amended its recently filed S-1 registration statement to add GVC Capital, LLC as its lead placement agent and Freedom Investors Corp and Spencer Edwards as selling group members.  The Company expects to request effectiveness of its registration statement with the SEC in late June.

The Company will be offering up to 10,000,000 shares at $0.25 per share through its Placement Agent, with the proceeds being used to fund the continuation of its marine survey and salvage operations.
