Item 8.01. Other Events.
On May 24, 2016, the Securities and Exchange Commission (“Commission”) issued a settled order regarding Swisher Hygiene Inc. (the “Company”) in connection with the Commission's review of matters relating to the Company's restatement of its 2011 quarterly financial statements for the periods ended March 31, 2011, June 30, 2011 and September 30, 2011 and related matters. In connection with the settlement, the Company consented to the entry of an Order Instituting Cease-and-Desist Proceedings Pursuant to Section 8A of the Securities Act of 1933 and Section 21C of the Securities Exchange Act of 1934, Making Findings, and Imposing a Cease-and-Desist Order, a copy of which is attached hereto as Exhibit 99.1.
