Item 5.03.    Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On May 16, 2016, American Power Group Corporation, a Delaware corporation (the “Company”), amended its Restated Certificate of Incorporation to increase the number of authorized shares of Common Stock from 200,000,000 to 350,000,000.

Item 5.07.     Submission of Matters to a Vote of Security Holders

On May 13, 2016, the Company held its 2016 Annual Meeting of Stockholders, at which (i) four members of the Board of Directors were reelected, (ii) the Company’s stockholders approved an amendment to the Company’s Restated Certificate of Incorporation to increase the number of authorized shares of Common Stock from 200,000,000 to 350,000,000, (iii) the Company’s stockholders approved the adoption of the Company’s 2016 Stock Option Plan, (iv) the Company’s stockholders approved, on a nonbinding, advisory basis, the compensation of the Company’s named executive officers as disclosed in the proxy statement for the Annual Meeting (the “say-on-pay” vote), and (v) the Company’s stockholders ratified the selection of Schechter, Dokken, Kanter, Andrews & Selcer, Ltd. as the Company’s independent auditors for the fiscal year ending September 30, 2016. On May 16, 2016, the Company issued a press release announcing results for the quarter ended March 31, 2016. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by this reference.
