(b)        On April 18, 2016 George B. Abercrombie notified Innoviva, Inc. (the “Company”) that he has decided to retire from his position as Senior Vice President, Chief Commercial Officer.  Mr. Abercrombie’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
