Item 7.01 | Regulation FD Disclosure |
On March 23, 2016, McGraw-Hill Global Education Holdings, LLC, a direct subsidiary of McGraw-Hill Global Education Intermediate Holdings, LLC, issued a press release announcing its intent to use free cash flow generated from operations to prepay $72.5 million of its term loans due 2019 on April 1, 2016. The press release related to the prepayment is attached as Exhibit 99.1 and is incorporated herein by reference.
The information set forth in this Item 7.01 and in the attached Exhibit 99.1 are deemed to be “furnished” and shall not be deemed to be “filed” for purposes of Section 18 of the Securities and Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
