The joint venture agreement between these parties contains certain restrictions on the transfer of the stock of this entity. The operations of ITG-Phong Phu Ltd., Co. were deconsolidated as of May 25, 2012 as a result of the enforcement agreement described elsewhere in the Annual Report on Form 10-K of which this exhibit forms a part. |
